NOTICE OF CHANGE IN CONTROL OF BANK HOLDING COMPANY Bartow Morgan, Jr., Atlanta, Georgia, Patricia MacLaurin Morgan Farrior, Tampa, Florida, Paul Mangum Morgan, New York, New York, Richard Brand Morgan, Atlanta Georgia, J. Bradford Smith, Atlanta, Georgia, Patricia Morgan Thomas, Atlanta, Georgia, have, as a group acting in concert, applied to the Board of Governors of the Federal Reserve under the Change in Bank Control Act (Act) (12 U.S.C. 1817(j)) and the Board's Regulation Y (12 CFR 225) for permission to acquire 25% or more of the shares of voting stock and thereby control of Georgia Banking Company, Inc., Sandy Springs, Georgia. (Georgia Banking Company, Inc. controls Georgia Banking Company, Sandy Springs, Georgia.) The Federal Reserve considers a number of factors in deciding whether to approve the notice.
