Notice of Proposed Merger of State Banks

NOTICE OF PROPOSED MERGER OF STATE BANKS AND MAIN OFFICE RELOCATION Notice is hereby given that Ameris Bank, a Georgia state-chartered bank headquartered at 300 South Main Street, Moultrie, Georgia 31768, has made application (the "Application") to the Atlanta Office of the Federal Deposit Insurance Corporation (the "FDIC") for its written consent to acquire Fidelity Bank, a Georgia state-chartered bank headquartered at 3490 Piedmont Road, Suite 1550, Atlanta, Fulton County, Georgia 30305, pursuant to a merger transaction between the two banks. It is currently contemplated that the main offices and branch offices of Ameris Bank and Fidelity Bank will continue to be operated following the merger, except that the main office of Ameris Bank will be relocated to 3490 Piedmont Road, Suite 1550, Atlanta, Fulton County, Georgia 30305, which is currently the main office of Fidelity Bank. It is also possible in connection with the transaction that Ameris Bank may decide to close or consolidate one or more legacy Fidelity Bank or Ameris Bank branches, but it is not likely that any such decisions will be made until after consummation of the merger. Any person wishing to comment on this Application may file his or her comments, in writing, with the Regional Director of the FDIC at its Atlanta Office located at 10 Tenth Street NW, Suite 800, Atlanta, Georgia 30309-3849, not later than March 8, 2019. The non-confidential portions of the Application are on file at the Regional Office and are available for public inspection during regular business hours.
